FREQit Terms and Conditions

Welcome to FREQit! These Terms and Conditions ("Terms") govern your use of the FREQit mobile application ("App"), provided by iLLPiLL, Inc. ("we," "us," or "our"). By downloading, installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the App.


1. Acceptance of Terms
By accessing or using the FREQit App, you signify that you have read, understood, and agree to be bound by these Terms, whether you are a guest or a registered user. These Terms apply to all visitors, users, and others who access or use the Service.

These Terms are concluded between you and iLLPiLL only, and not with Apple, Inc. ("Apple"). iLLPiLL, not Apple, is solely responsible for the FREQit App and its content. These Terms may not provide for usage rules that conflict with the Apple Media Services Terms and Conditions.


2. Eligibility
You must be at least 13 years old to use the FREQit App. By using the App, you represent and warrant that you are at least 13 years old and have the legal capacity to enter into a binding agreement.


3. Maintenance and support
iLLPiLL is solely responsible for providing maintenance and support services for the FREQit App, as described in these Terms or as required by applicable law. You and iLLPiLL acknowledge that Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the FREQit App.


4. Account Registration
To access certain current or forthcoming features of the App, you might be required to register for an account using your Apple ID. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your device. You agree to accept responsibility for all activities that occur under your account.


5. Permitted Use
You are granted a limited, non-exclusive, non-transferable, revocable license to use the FREQit App on any Apple-branded device that you own or control, and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions. This license does not allow you to use the App on any device that you do not own or control. The App may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing, where applicable.  You may use this App for your personal, non-commercial use, subject to these Terms.

You agree not to:

  • Use the App for any illegal or unauthorized purpose.

  • Modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the App.

  • Interfere with or disrupt the integrity or performance of the App or the data contained therein.

  • Attempt to gain unauthorized access to the App or its related systems or networks.

  • Use the App to send any unsolicited or unauthorized advertising, promotional materials, or any other form of solicitation.

  • Use the App in a manner that could damage, disable, overburden, or impair any of our servers or networks.

6. No Medical Advice; Health Disclaimer
The content provided in the FREQit App, including all meditation exercises, videos, and associated materials, is for general informational and entertainment purposes only. IT IS NOT INTENDED TO BE AND DOES NOT CONSTITUTE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. FREQit does not claim to provide any medical benefits, cures, or treatments for any health conditions.

Always consult with a qualified healthcare professional (such as your physician or therapist) before making any decisions about your health, starting any new meditation practice, or if you have any questions or concerns regarding a medical condition. Do not disregard professional medical advice or delay seeking it because of something you have read or experienced through the App.

Your use of the App is at your own risk. We are not responsible for any adverse effects that may result from your use of the App or the meditation exercises contained within it.


7. Intellectual Property Rights
All content on the FREQit App, including but not limited to text, graphics, images, videos, audio clips, and software, is the property of iLLPiLL or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, distribute, display, perform, or create derivative works of any content without our prior written consent. In the event of any third-party claim that the FREQit App or your possession and use of the App infringes that third party's intellectual property rights, iLLPiLL, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.


8. User Conduct
You agree to use the App in a respectful and lawful manner. You will not engage in any conduct that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.


9. Privacy Policy
Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy (https://illpill.xyz/pages/freqit-privacy-policy) to understand our practices regarding the collection, use, and disclosure of your information.


10. Disclaimers and Limitation of Liability
THE FREQit APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL iLLPiLL, Inc., ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE APP; (III) ANY CONTENT OBTAINED FROM THE APP; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

In the event of any failure of the FREQit App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App (if any) to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be iLLPiLL's sole responsibility.


11. Indemnification
You agree to defend, indemnify, and hold harmless iLLPiLL, Inc. and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

  • Your use of and access to the App, including any data or content transmitted or received by you.

  • Your violation of any of these Terms.

  • Your violation of any third-party right, including without limitation any right of privacy or intellectual property rights.

  • Your violation of any applicable law, rule, or regulation.

  • Your willful misconduct.


12. Termination
We may terminate or suspend your account and access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the App will immediately cease. If you wish to terminate your account, you may simply discontinue using the App.


13. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of New York, USA, without regard to its conflict of law provisions.


14. Severability
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.


15. Changes to These Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our App after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the App.


16. Future Applications and Fee Structure
While the FREQit App is currently offered to users on a "Free Forever" basis, this term applies exclusively to the functionality and features provided within the FREQit application itself. Notwithstanding this "Free Forever" commitment for FREQit, we, iLLPiLL, expressly reserve the right to develop, release, and impose separate fees, charges, or subscription costs for any future, distinct mobile applications, software, products, or services that may be developed and offered by iLLPiLL. Use of any such future applications, products, or services will be subject to their own respective terms, conditions, and pricing structures.


17. Product Claims
iLLPiLL, not Apple, is responsible for addressing any claims by you or any third party relating to the FREQit App or your possession and/or use of the App, including but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.



18. Legal Compliance
By using the FREQit App, you represent and warrant that: (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.


19. Third Party Terms
When using the FREQit App, you must comply with any applicable third-party terms of agreement. For example, you must not be in violation of your wireless data service agreement when using the App.


20. Third-Party Beneficiary
You acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
